Terms and Conditions of Service
Dinner In The City, LLC ("DITC") is an opportunity for professional adults to socialize with one another over a dinner (and or a meal). This is a legal agreement ("the Agreement") between you and Dinner In The City. Please read the Agreement carefully before joining Dinner In The City. By joining Dinner In The City, you become a client thereof (a "Client"), and you agree to be bound by the terms and conditions of this Agreement (the "Term") for as long as you continue to be a Client. If you do not agree to the terms, please do not join Dinner In The City. The terms are subject to change by Dinner In The City at any time, effective upon notice to you. Dinner In The City reserves the right to immediately suspend or terminate your membership to Dinner In The City, without notice, upon any breach of this Agreement by you. There are no refunds for the number of dinners for which you contract, for any reason, including without limitation the suspension or termination of your membership. Your Dinner In The City membership is for your sole, personal use, and you may not authorize others to use your membership, or assign or otherwise transfer your membership to any other person or entity. We may change any fees or charges for using the service, at any time, upon notice to you.

All Clients also agree to uphold and maintain our Privacy Policy and to the terms and conditions thereof. You may read a full description of our Privacy Policy here.

This Agreement, accepted by you upon joining Dinner In The City, contains the entire agreement between you and Dinner In The City regarding Dinner In The City and its website, including the Privacy Policy. In the event of any conflict between the Privacy Policy and this Agreement, this Agreement shall control. Unless otherwise explicitly stated, the terms of this Agreement will survive termination of your membership to Dinner In The City. This Agreement shall terminate immediately and without notice if you breach any of the terms, subject to the survival of all rights and reservations of Dinner In The City. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The Client certifies that the Client has read and agrees to be bound by these terms.

To become a Client you must register with Dinner In The City. When you register to become a Client, you agree to provide accurate, current and complete information about yourself as prompted by our registration form ("Registration Information"), and to maintain and update your information to keep it accurate, current and complete. You agree that we may rely on your Registration Information as accurate, current and complete, and if your Registration Information is untrue, inaccurate, outdated or incomplete in any respect, we reserve the right to terminate this Agreement. Further, you agree that you are solely responsible for the Registration Information you transmit.

Dinner In The City expects each Client to act in a responsible manner. As such, as a Client, you agree that:

- You will not impersonate any person or entity. You will not stalk or otherwise harass any person.
- You will not express or imply that any statements you make are endorsed by Dinner In The City, without our specific prior written consent.
- You will not violate any third party's proprietary rights by posting, distributing or reproducing any copyrighted material, trademarks, or other proprietary information without first obtaining the prior consent of the rights holder.
- You will not remove any proprietary rights notices contained on Dinner In The City' website.
- You will not interfere with or disrupt the services or the website, in any manner, or cause others to do so.
- You will not frame, mirror, or deep link to the website, without our prior written authorization.
- You will not use meta tags or code in connection with Dinner In the City or its website in order to direct any person to any third party website.
- You will use Dinner In The City in a manner consistent with any and all applicable laws and regulations.
- You will not engage in advertising to, or solicitation of, other members to buy or sell any products or services through Dinner In The City.
- You are solely responsible for your interactions with other Dinner In Citys' clients.
- You will defend, indemnify, and hold harmless Dinner In The City, its officers, directors, employees, agents, attorneys and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of Dinner In The City, including: (i) your breach of this Agreement; (ii) any allegation that any materials that you submit or transmit to Dinner In The City infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (iii) your activities in connection with Dinner In The City. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.

DITC VIP Membership:The Dinner In The City VIP Membership Card (the "Card") entitles Cardholders to special discounts and promotions ("VIP treatment") offer at participating premier merchants. DITC members must present the Card before billing or at the beginning of a transaction to take advantage of VIP treatment. DITC is not responsible for, and reserves the right to correct, any printing or typographical errors regarding participating merchants or discounts. The use and acceptance of the Card for any particular discount is subject to terms & conditions set by the sponsoring merchant and/ or DITC. If your card is lost or stolen at any time during your membership, you may request for a replacement card for a fee of $30 by writing to info@dinnerinthecity.com or writing to P.O. Box 4144, Arlington, Virginia 22204.

DINNER IN THE CITY DISCLAIMS ANY LIABILITY FOR INJURY OR DAMAGE RESULTING FROM ANY USE OF THE CARD, OR FROM ANY ACCIDENT OR EVENT OCCURING ON THE PREMISES OF A PARTICIPATING MERCHANT, OR FROM ANY USE OF OR PARTICIPATING IN A VIP TREATMENT. DINNER IN THE CITY DOES NOT WARRANT, OR MAKE ANY REPRESENTATIONS REGARDING THE QUALITY OR MERCHANTABILITY OF ANY PRODUCTS OR SERVICES AVAILABLE THROUGH THE VIP CARD PROGRAM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINNER IN THE CITY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. UNDER NO CIRCUMSTANCES, INCLUDING WITHOUT LIMITATION NEGLIGENCE, SHALL DINNER IN THE CITY OR ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR ANY OTHER PARTY INVOLVED OFFERING THE CARD OR ANY VIP TREATMENT, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMGES ARISING FROM OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE CARD.

The personal information (including sensitive personal information) you provide to us will be stored on our database. You consent to us using this information to build up a profile of interests, preferences and browsing patterns and to allow you to belong to Dinner In The City. In addition, Dinner In The City disclaims all liability, regardless of the form of action, for the acts or omissions of other Clients or users of Dinner In The City, including unauthorized users.

All software, design, text, images, photographs, illustrations, audio and video material, artwork, graphic material, database, proprietary information and all copyrightable or otherwise legally projectile elements of the website, including, without limitation, the selections, sequence and 'look and feel' and arrangement of items, are the property of Dinner In The City. "DITC" and the "DITC Logo" are trademarks, service marks and trade names of Dinner In The City. All other trademarks, service marks, or trade names set forth on this website are the property of their respective owners.

In addition, other Clients may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

Dinner In The City provides its services on an "as is" basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with Dinner In The City or its representatives, or otherwise with respect to its services. Dinner In The City specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Dinner In The City does not warrant that your use of its service will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the service will be corrected. Dinner In The City disclaims liability for, and no warranty is made with respect to, connectivity and availability. Dinner In The City will not be liable for any damages, direct, indirect, incidental and/or consequential, arising out of the use of this service, including, without limitation, to damages arising out of communicating and/or meeting with other Clients of this service, or introduced to you via this service. Such damages include, without limitation, physical damages, bodily injury and or emotional distress and discomfort.

While Dinner In The City will never give out your personal information without your consent, it is remotely possible for others to obtain personal information about you due to your use of Dinner In The City's services, and that the recipient may use such information to harass or injure you. Dinner In The City is not responsible for the use of any personal information that you disclose to Dinner In The City.
